Terms of Service

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

Musuni offers different account types based on your role:

• Artist/Musician: Full access to career management tools
• Fan: Access to discovery, community, and engagement features
• Venue: Access to venue dashboard and booking management

You must be at least 13 years old to use the Services. If you are between 13 and 18, you must have permission from a parent or legal guardian. By using the Services, you represent that you meet these requirements.

Musuni offers tiered subscription plans: Free, Creator, Pro, and Studio. Each tier provides different features, storage limits, and monthly credits. Details of each plan are available on our pricing page and may change over time.

Early subscribers may receive “Founding Member” pricing, which locks in a discounted rate for the lifetime of their continuous subscription. Founding Member pricing is non-transferable and is lost if you cancel your subscription.

Certain users designated as “Early Adopters” may receive premium features at no additional cost. These benefits are granted at our discretion and may be modified or terminated at any time.

Subscription fees are billed in advance on a monthly or annual basis. All payments are processed through Stripe. By subscribing, you authorize us to charge your payment method for the subscription fees plus any applicable taxes.

We may offer free trials for paid plans. At the end of the trial period, you will be automatically charged unless you cancel before the trial ends. You may only use one free trial per account.

We reserve the right to change subscription prices. Existing subscribers will be notified at least 30 days before any price increase takes effect. Founding Member pricing is exempt from price increases.

Muse is an AI-powered assistant designed to help you manage your music career. Muse uses large language models to understand your requests, access your data, and perform actions on your behalf such as generating content, analyzing analytics, and executing tasks within the platform.

AI-generated content, including but not limited to pitch messages, social media captions, email drafts, and video content, is provided as a starting point. You are responsible for reviewing, editing, and approving all AI-generated content before use. We do not guarantee the accuracy, appropriateness, or effectiveness of AI-generated content.

Depending on your subscription tier, Muse may operate at different autonomy levels:

• Suggestions: Muse provides recommendations that require your approval
• Drafts: Muse creates drafts that you must review and publish
• Autonomous: Muse may execute certain pre-approved actions automatically

You can configure autonomy settings in your account. You remain responsible for all actions taken by Muse on your behalf.

AI systems have limitations. Muse may occasionally produce inaccurate, incomplete, or inappropriate responses. We continuously work to improve our AI systems but cannot guarantee error-free performance. Critical decisions should always involve human review.

Your conversations with Muse may be stored to provide context, improve your experience, and enhance our AI systems. See our Privacy Policy for details on how we handle this data.

You retain all ownership rights to content you upload, create, or submit through the Services (“Your Content”), including your music, images, videos, artist profiles, and written materials. We do not claim ownership of Your Content.

By uploading Your Content, you grant Musuni a non-exclusive, worldwide, royalty-free license to use, display, reproduce, distribute, and process Your Content solely for the purpose of providing and improving the Services. This license includes the right to:

• Display your content on your public pages (link-in-bio, EPK, etc.)
• Process your content through our AI systems
• Generate thumbnails and previews
• Distribute content to platforms you've connected (with your authorization)

Content generated by our AI systems (including Muse, playlist pitches, and AI videos) using your inputs is owned by you, subject to any third-party rights in the underlying AI models. You are responsible for ensuring you have the necessary rights to any inputs you provide to generate AI content.

You represent and warrant that:

• You own or have the necessary licenses, rights, and permissions to Your Content
• Your Content does not infringe upon any third-party rights
• Your Content complies with all applicable laws and these Terms

You may delete Your Content at any time through the Services. We will remove deleted content from our active systems, though it may persist in backups for a limited time as described in our Privacy Policy.

The Services allow you to connect third-party accounts including Spotify, Apple Music, Instagram, TikTok, YouTube, Facebook, Twitter/X, and others. By connecting these accounts, you authorize us to access data from these platforms in accordance with their terms and our Privacy Policy.

Your use of third-party services through Musuni is subject to those services' own terms of service and privacy policies. We are not responsible for the availability, accuracy, or conduct of any third-party services. Changes to third-party APIs may affect the functionality of our integrations.

We partner with analytics providers (such as SoundCharts and Songstats) to aggregate streaming and social media data. Data accuracy depends on these providers and the underlying platforms. We do not guarantee the accuracy of analytics data.

If you connect Musuni to Telegram, you authorize us to send you notifications and allow you to interact with Muse via Telegram. Standard messaging rates may apply.

Playlist pitching uses a credit-based system. Each subscription tier includes a monthly allocation of pitch credits. Additional credits may be purchased separately. Credits are consumed when pitches are sent to curators. Failed sends may be automatically refunded.

AI video generation uses credits. Each subscription tier includes a monthly allocation of video credits. Credits are consumed when videos are successfully generated. Additional credits may be purchased as bundles.

Monthly credits included with your subscription reset at the beginning of each billing cycle and do not roll over. Purchased credit bundles do not expire.

Different subscription tiers have different limits on features such as storage space, number of artist profiles, scheduled posts per month, and fan contacts. Current limits are displayed on our pricing page and in your account settings.

Musuni provides tools to find collaborators, manage collaboration projects, and communicate with collaborators. You are solely responsible for the terms of any collaboration agreements you enter into with other users.

For collaborations involving payment, we offer optional escrow services powered by Stripe Connect. When you fund a milestone, funds are held until the work is approved or the auto-release period expires. A platform fee of 5% applies to escrow transactions.

In case of disputes between collaborators, either party may file a dispute through the platform. We will review disputes and may make a determination at our discretion. Our dispute resolution is not a substitute for legal action, and we are not liable for collaboration disputes.

Musuni respects intellectual property rights. You must not upload, share, or distribute content that infringes upon the copyright or other intellectual property rights of others.

If you believe that content on Musuni infringes your copyright, you may submit a DMCA takedown notice to our designated agent at: dmca@musuni.io

Your notice must include: (1) identification of the copyrighted work, (2) identification of the infringing material and its location, (3) your contact information, (4) a statement of good faith belief, (5) a statement of accuracy under penalty of perjury, and (6) your physical or electronic signature.

If your content was removed in response to a DMCA notice and you believe it was removed in error, you may submit a counter-notice. We will process counter-notices in accordance with the DMCA.

We will terminate the accounts of users who are determined to be repeat copyright infringers.

You may terminate your account at any time by contacting support or using the account deletion feature in your settings. Upon termination, your right to use the Services will immediately cease.

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, we may delete your account and all associated data.

Upon termination: (1) all licenses granted to you will terminate, (2) you must cease all use of the Services, (3) any outstanding payment obligations remain due, and (4) provisions that by their nature should survive will survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

Before terminating your account, you may request an export of your data through your account settings or by contacting support. We will provide your data in a commonly used format within a reasonable timeframe.

We may modify these Terms at any time. If we make material changes, we will notify you by email or through the Services at least 30 days before the changes take effect. Your continued use of the Services after changes become effective constitutes acceptance of the new Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

These Terms, together with the Privacy Policy and any other agreements incorporated by reference, constitute the entire agreement between you and Musuni regarding the Services.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
